1. Scope and Provider
   These Terms and Conditions (“Terms”) govern the contractual relationship between you (“Client” or “User”) and Shapetric, a digital service provider based in Germany, regarding the use of www.shapetric.com, app.shapetric.com, and all services, digital products, and platform features offered through them (“Platform”).

   
   

Shapetric provides digital services and digital products including, but not limited to social media content and advertising design, website design and development, short-form video editing, lead automation setups, and subscription-based access to digital assets through a membership platform.

By accessing the Platform, placing an order, booking a service, or purchasing a subscription, you enter into a legally binding agreement under these Terms.

2. Eligibility
   You must be at least 18 years old or have reached the legal age of majority in your jurisdiction to use the Platform or enter into a contract with Shapetric.

   
   

3. Contract Formation
   A contract is formed when you select a service or product, provide the required information, accept these Terms and the Privacy Policy, and confirm the order or sign a service agreement.

   
   

Service details, scope, pricing, and delivery conditions are defined at the point of purchase or in a written agreement.

4. Platform Use and Accounts
   Where access requires a user account, you are responsible for maintaining the confidentiality of login credentials and all activities under your account. Account sharing or unauthorized access is prohibited.

   
   

Shapetric reserves the right to suspend or terminate accounts in case of misuse, unlawful activity, or violation of these Terms.

5. Acceptable Use
   You agree to use the Platform only for lawful purposes. You may not modify, copy, distribute, reverse engineer, or exploit Platform materials beyond permitted use, interfere with the Platform’s operation, transmit unlawful content, collect data without consent, or infringe intellectual property or privacy rights.

   
   

6. Digital Services
   Shapetric provides professional digital services with reasonable care and professional skill. Services are process-based and do not guarantee specific results, including reach, engagement, conversions, revenue, or business growth.

   
   

The scope of services is limited to the purchased service. Additional work or changes may require separate agreements or additional fees.

7. Client Responsibilities
   The Client agrees to provide accurate and timely information, materials, and feedback necessary for service delivery, including texts, media, and access credentials. Shapetric is not responsible for delays or limitations caused by incomplete or delayed client input.

   
   

8. Timelines and Delivery
   Service timelines are estimates and depend on timely client cooperation. Delivery periods may be extended if required materials or approvals are not provided.

   
   

9. Payments and Billing for Services
   All fees for services are due at the beginning of the contractual relationship. Payment obligations arise upon execution of the service agreement and issuance of the invoice.

   
   

Following contract signature, Shapetric will issue an invoice to the Client. The invoice must be paid in full within seven (7) calendar days from the invoice date unless otherwise agreed in writing. Service delivery may commence only after receipt of payment unless explicitly agreed otherwise.

All prices are stated in EUR unless otherwise specified and include applicable taxes where required by law. Payments may be processed via Stripe, PayPal, or bank transfer.

10. Digital Products and Membership Access
Shapetric may provide subscription-based access to digital assets, templates, downloadable content, and related materials (“Digital Vault”). Access is granted for the duration of an active subscription and provides a limited, non-exclusive, non-transferable right to use available assets.

Subscriptions renew automatically according to the selected billing cycle unless cancelled before the next billing date. Shapetric reserves the right to modify, update, or remove digital content at any time.

11. . License and Intellectual Property
    All materials, deliverables, digital assets, platform content, and software remain the intellectual property of Shapetric or its licensors unless otherwise agreed in writing.

Upon full payment, Clients receive a non-transferable, non-exclusive right to use delivered materials or downloaded assets for their own business or personal purposes. Resale, redistribution, sublicensing, or sharing with third parties is prohibited without written permission.

12. Client-Submitted Content
    Clients retain ownership of submitted materials and grant Shapetric a limited license to use such materials solely for service delivery. The Client confirms that all submitted content complies with applicable laws and does not infringe third-party rights.

    
    

13. Right of Withdrawal and Early Service Start
    Where consumer protection laws apply, the Client expressly agrees that service delivery or access to digital content may begin before the statutory withdrawal period expires and acknowledges that the right of withdrawal expires once service performance or digital access has begun.

    
    

14. Refund Policy
    Refunds apply only where explicitly stated for a specific service or product. Refunds do not apply to completed services, accessed digital content, downloaded materials, or services affected by incorrect or missing client input.

    
    

15. Third-Party Services
    Shapetric may use third-party tools, payment providers, or external platforms. Shapetric is not responsible for failures or interruptions caused by such third parties.

    
    

16. Service Availability
    Shapetric aims to ensure continuous Platform availability but does not guarantee uninterrupted access. Temporary interruptions may occur due to maintenance or technical reasons.

    
    

17. Limitation of Liability
    To the maximum extent permitted by law, Shapetric shall not be liable for indirect or consequential damages. Where liability cannot be excluded, total liability is limited to the amount paid for the affected service or subscription period.

    
    

18. Termination
    Either party may terminate ongoing agreements in accordance with the agreed billing or contractual terms. Shapetric may suspend or terminate access in case of violations or unlawful use.

    
    

19. Data Protection
    Personal data is processed in accordance with the Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR).

    
    

20. Changes to Terms
    Shapetric may update these Terms at any time. Updated versions apply upon publication. Continued use of the Platform constitutes acceptance of the revised Terms.

    
    

21. Governing Law and Jurisdiction
    These Terms are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is Berlin, Germany.
